. Also, please note that the Investor Participation Agreement references "dues" which may be charged. At this time no dues or fees will be changed until after this summer and then initially there may only be a nominal fee for each meeting. All attendees will be given ample notice should any decision be made regarding the charging or collecting of any dues. The forms are as follows:
Investor Participation Agreement:
The purpose of the Investor Participation Agreement is to establish the terms and conditions under which investors are permitted to attend meetings of Wed 3. The agreement requires that investors may pay periodic dues to attend the meetings and represent and warrant to Wed 3 that they are "accredited investors" and have the requisite experience to understand and properly evaluate the substantial risks of an early-stage equity investment. The investors acknowledge in the agreement that Wed 3 has no knowledge regarding the companies that are seeking capital and has no duty or responsibility to secure any investment, engage in any negotiations or conduct any due diligence regarding a potential investment. The agreement also contains usual and customary provisions under which, among other things, the investor waives rights it may have against Wed 3 and agrees to indemnify and hold Wed 3 harmless from certain claims and liabilities.
Investor Questionnaires:
The purpose of the investor questionnaires is to establish a factual basis upon which Wed 3 can reasonably conclude that the investors who attend and participate in Wed 3 meetings are "accredited investors" for purposes of federal and state securities laws.
